Offering serious practitioners and genuine stakeholders in the business a chance to work together the Guild was formed with manifold objectives, salient among them being -
Development of the Film and Motion Picture Industry
To Promote, aid, help, encourage and develop the Indian Film and Motion Picture Industry in general and to improve and raise the quality and standard of the films and motion pictures produced in India by:
- Providing a meeting place for exchange of views of all those engaged in the industry or otherwise interested.
- Providing a channel of communication with similar or allied associations or societies in India and other countries.
- Arranging lectures and demonstrations and excursion on topics pertaining to this and allied industries.
- Maintaining a suitable library for the benefit and use of the members of the Guild and for the general public, if possible.
- Investigating problems peculiar to this Industry and allied industries.
- Conducting an organ for the spread of knowledge and latest information pertaining to this and other allied industries, its and their progress and development.
- Educating the general public in the utility of the Film Industry from social, industrial, educational and cultural points of view.
- Collecting and circulating statistics and information about all matters relating to films and their production, distribution and exhibition.
- Establishing and maintaining an up to date film laboratory for the use of the members and other persons engaged in the industry on such terms as may be agreed upon and establishing a studio or studios, theatre, or a school or schools for the use of the members or other persons engaged in the industry and establishing and maintaining technical staff for advising on the various matters relating to film technique.
- Providing and formulating rules and regulations for the examination and certification of pictures produced by the members of the Guild and others.
- Manufacturing or getting manufactured all materials, accessories, machinery, raw films, chemicals and such other materials generally and particularly useful for the film industry including production, distribution and exhibition of films
- Constructing or getting constructed building or buildings for housing various offices connected with films including production distribution and exhibition as also for use as clubs, entertainment parties, meeting halls, dramatic theatres, demonstration houses residential quarters and such other constructions.
- Establishing a full-fledged department of hiring or sale to the members of the Guild and others, all materials, property, musical instruments, wardrobes, furniture, settings and all such materials which are generally or particularly used or useful in production, distribution and exhibition of films.
- Establishing and conducting a full-fledged Press with all latest equipment to undertake all kinds of printing such as stationary, litho posters, colour pictures, show-cards, window cards, booklets and such other publicity materials as also all and every kind of printing work for the benefit of the members of the Guild and others.
- Acquiring by construction, purchase, lease, hire or otherwise cinema theatres all over India and abroad and controlling and running them.
- Establishing and controlling distribution exchanges all over India and abroad.
To do all acts or assist in the doing of acts of all kinds whereby the Film or Motion Picture Industry or the persons engaged therein in India may be helped, assisted or aided in any manner whatsoever and without prejudice to the generality of the above to do all or any of the following acts and things:
- To organise persons interested, engaged or employed in the industry or any class or classes of such persons.
- To look after the welfare of such persons, class or classes of persons and to start a Benevolent Fund for the benefit of the persons or class or classes of persons in need of such help, either by loan, donation or such other contribution.
- To give all information in matters affecting the production, exhibition and distribution of films in India and other countries,
- To bring into contract persons engaged in the different branches of film or motion picture industry.
- To undertake and carry on experimental and research work of all kinds which may be useful to the progress and benefit of the film industry.
Rules and Regulations by the Industry for the Industry
Internal Regulation of Industry
To formulate rules for the conduct of members and other persons in film industry in India and change or vary the same from time to time, such rules relating either to the personal conduct of the members interest or relating to the usages and customs to be observed in the industry.
Settlement of Disputes
To settle all disputes between members of the Guild or between persons engaged in the film Industry and to arbitrate amongst such contesting parties
Inquires and action to redress grievances
To undertake special inquires and initiate or support any action for securing the redress of legitimate grievances connected with the film industry
Law & regulation concerning the Industry
To take all necessary action in relation to the laws and regulations concerning the film industry and censoring of films in India and to create and maintain harmonious relations with the authorities whether supreme, local, police, municipal or others without prejudice to the generality of the above to do all or any other following acts, deeds and things:
- To correspond with and appear on behalf of the members of the film industry before all authorities.
- To act on behalf of the members and the industry in general and to advise, if called upon, any such authorities.
- To obtain sanctions, privileges, advantages, reliefs, cooperation from any authority in the interest of the industry.
- To suggest, promote or oppose legislative and other measures affecting the film industry and to obtain charges and improvements in the law relating to the industry.
- To protect the interest of the members of the Guild and those engaged in the industry and to help them by legal aid given freely or otherwise and by presenting to the proper authorities the cases of such persons, members or persons engaged in the industry
- To arrange for conduct of proceedings before the Tribunal dealing with industrial disputes inclusive of Labour Commissioner and others on behalf of the members of the Guild
Film Culture
- To encourage; assist and extend knowledge and information connected with the industry by the organization, presentation of prizes, etc. or by lectures, discussions, correspondence, conferences etc. or by publication of magazines, newspapers, periodicals, maps, charts, statistics, books of reference etc. by examining and criticizing stories scripts, scenarios, etc. and generally by encouraging the industry in all possible ways and by otherwise promoting the interest of those engaged in the same
- To establish branches, or local or subsidiary associations, Guilds etc. in any state or states in India or in any territory outside India.
Other Laws and Regulations concerning the Film Industry
Administration expenses
To pay out of the funds of the Guild, the costs, charges and expenses, preliminary and incident to the formation, establishment and or registration of the Guild or of any other association, and all expenses which the Guild may lawfully pay, including brokerage and commission for obtaining applications for or taking, placing or underwriting debentures or debenture stock
Association's Premises
To construct upon any premises acquired for the purposes of the Guild any building or buildings for the purposes of the Guild and to alter, add to, or remove any building upon such premises.
Borrowing
To borrow or raise any monies required for the purposes of the Guild upon such terms and such manner and on such securities as may be determined, and in particular by mortgage, charge or lien on the Guild's property or by the issue of debentures or debentures stock charged upon all or any of the property of the Guild
Collaboration with other bodies
To aid or receive aid from any other Association promoting or formed to promote any of the above objects and to subscribe to any Guild with the view of obtaining any other advantages or benefits for the purpose of the Guild and to subscribe to any fund, movement or society that the Governing body may from time to time consider deserving
Censorship
To support and introduce legislative and other measures for the purposes of regularising the actions of the various boards of Censors and specially to provide for:
- Competent, uniform and quick censoring of film in India.
- Proper and adequate representations of the Guild on such other Censor Board or Boards, Official and non-Official bodies, Government, Semi Government and non-Government bodies, councils and associations.
- To minimise interference with the trade and industry by such Censor boards etc.
- To otherwise act in all matters relating to censoring of films in India.
Collective bargaining
To arrange for obtaining concessional terms by collective bargaining in regard to purchase and sale of articles pertaining to the industry and from transportation, insurance, publicity and other agencies for the members of the Guild.
Donations etc
To accept any bequeath, devise, gift or donation whatsoever (whether of money or of property of any description) and to apply the same or the proceeds of sale or relisation thereof for the purposes of Guild or to invest the same or such proceeds and apply the income arising there from for any of the purposes of the Guild
Finance
Generally to obtain money for the objects of the Guild in any lawful manner and to invest, apply or deal with the same in such manner as may be considered as most desirable for giving effect to such objects
Guild's Premises for public purpose
To permit any of the buildings of the Guild to be used upon such terms as the governing body of the Guild may think fit for meetings, lectures, discussions or for any other purpose which the Guild may think expedient
Moveable and Immovable Property
To acquire by gift, donation, purchase, take on lease or otherwise lands and all other property moveable and immovable, which the Guild for the purposes thereof may from time to time think proper to acquire
Management of Property
To sell, improve, manage, develop, exchange, lease or let, under lease, sublet, mortgage, dispose of, turn to account or otherwise deal with all or any part of the property of the Guild.
Negotiable Instruments
To draw, make, accept, endorse and execute promissory notes, bills of exchange, cheques and other negotiable instruments.
Patents & Designs
To acquire patents to designs and invention likely to be of use and benefit to the industry.
Prizes
To give financial assistance and aid by way of rewards, scholarship prizes in deserving cases for work pertaining to the industry.
Uniform practice arbitration
To arrange for uniform forms and practice in the conduct of business, for arbitration of matters in dispute and to secure observance of principles of justice and fair-play and to build up just and fair business etiquette.
APPLICATION OF INCOME & PROPERTY
The income and property of the Guild wheresoever derived shall be applied solely for the promotion of the objects of the Guild as set forth in this Memorandum of the Guild and no portion thereof shall be paid or transferred directly or indirectly by way of dividend, bonus or otherwise howsoever by way of profit to the members of the Guild provided that nothing herein contained shall prevent the payment in good faith of remuneration to any officer, member or servant of the Guild or to any other person in return for any services actually rendered to the guild provided further that no member of the governing body shall be appointed to any salaried office of the Guild or any office of the Guild paid by fees and no remuneration shall be given by the Guild to any member of the Governing body except repayment of out-of-pocket expenses and interest on money, lent or rent for the premises demised to the Guild provided further that this provision shall not apply to any payment to any railways, gas or electric lighting, water or telephone Company of which a member of the governing body may be member or any other company in which such member shall hold shares and such member shall not be bound to account for any share of profits he may receive in respect of such payment. If any member of the Guild pays or receives any dividend bonus or otherwise any profit in contravention of this clause his liability shall be unlimited.
LIABILITY OF MEMBERS
The liability of the members is limited except in the case of members whose liability may become unlimited under the preceding clause
LIABILITY ON WINDING UP
Every member of the Guild undertakes to contribute to the assets of the Guild in the event of the same being wound up during the time that he is a member or within one year afterwards for payment of the debts and liabilities of the Guild contracted before the time at which he ceases to be member and of the costs, charges and expenses of winding up the same and for the adjustments of the rights of the Contributories against themselves such amount as may be required not exceeding 500 rupees or in case of his liability being unlimited such other amount as may be required
DISPOSAL OF PROPERTY AFTER WINDING UP
If upon the winding up or dissolution of the Guild there remains after the satisfaction of all its debts and liabilities any property whatsoever the same shall not be paid to or distributed amongst the members of the Guild but shall be given or transferred to such other institution having objects similar to the objects of the Guild to be decided and determined by the members of the Guild at or before the time of dissolution or in default thereof by the High Court of Mumbai , and if and so far as effect cannot be given to the aforesaid provision then to some charitable object.
